Seller Terms
Version 2026-10-19.
These Seller Terms are an addendum to, and part of, the Vessa Organizer Agreement between you and Vessa Technologies LLC ("Vessa", "we", "us"). They apply only to Seller Events. Words defined in the Organizer Agreement mean the same here.
1. Seller Events
A Seller Event is an event of yours, including a day of Charge an amount at your door, whose card payments are made on your own Stripe account. In some states events are sold only this way, and we tell you before such an event goes on sale. The Organizer Agreement still applies to Seller Events. Where these Seller Terms and the Organizer Agreement differ, these Seller Terms decide for Seller Events, including over any later version of the Organizer Agreement, unless that version says in words that it replaces these Seller Terms. Your other events, and every ticket already sold, are not affected.
2. You are the seller
For a Seller Event you are the seller of the tickets and the merchant of record for every payment. Guests pay you, on your own Stripe account, through our checkout, door tools and Tap to Pay on iPhone. Stripe, not Vessa, processes each payment and keeps your Stripe balance. We provide the software that lists the event, takes the order, delivers the tickets and runs the door. As the seller you are responsible to your guests for the sale, including any refund the law gives them.
3. We never hold your money
For a Seller Event we do not collect, receive, hold or send the money your guests pay, other than our own fee, and we are not your agent for receiving payment. Each payment goes into your Stripe balance, less our fee. So no part of the Organizer Agreement that has us collect, hold, keep back, set off, pay out or release money from a Seller Event, or reverse a transfer of it, applies to Seller Events. That includes: in section 1, "take the money" and "pay you", our appointment as your agent to collect payment, and the statement that what we collect is held for you; all of section 4; in sections 5 to 9, every sentence that takes a refund, a chargeback or a cost from money we hold for you, by reversing a transfer to you or from your future sales, and every sentence that lets us hold your money; section 12's holding of funds; in section 16, the sentences about tax we collect and keep from your side; and in section 19, the words "because we took the payment".
4. Our fee
Our fee is the one the Organizer Agreement sets, including the door item fee you accepted. Stripe takes it from each payment as it is made and pays it to us as an application fee. We pay Stripe's processing fees on the payment out of it, so you pay nothing else to us or to Stripe for processing a payment. Section 7 of the Organizer Agreement still decides who bears our fee and the card processing when a payment is refunded.
5. Payouts
Stripe pays the money in your Stripe balance to your bank account on Stripe's own automatic schedule. A new Stripe account's first payout usually comes about 7 days after its first payment, sometimes longer, and later payouts usually about 2 business days after each payment. We never set your payouts to manual, add a delay, pause, hold or release them, or choose when they happen. Stripe may hold or delay a payout under your agreement with Stripe; that is Stripe's decision, not ours. Keep your payouts on an automatic schedule: we cannot put a new Seller Event on sale while they are manual.
6. Your Stripe account
Your Stripe account is yours, and is governed by your own agreement with Stripe (the Stripe Connected Account Agreement, which includes the Stripe Services Agreement), which you accept with Stripe when you set it up. Stripe must verify you and turn on card payments for your account before a Seller Event can go on sale. Keep your details with Stripe current. You authorise us, through Stripe, to do only these things on your account: create payments for your Seller Events with our fee as an application fee; set up Apple Pay, Google Pay, Link and Tap to Pay on iPhone for them; read what Stripe needs from you and what your account has been paid; issue the refunds in section 7; and answer disputes under section 8. We never change your payout schedule, pause your payouts, create a payout or debit your Stripe balance.
7. Refunds
Refunds of a Seller Event's payments are your refunds, paid from your Stripe balance. You give us a standing instruction to issue them on your Stripe account for you: (a) when you ask us to, from your dashboard; (b) when a guest asks within the refund policy you set for the event; (c) when you cancel the event, and when we cancel it or close your account under section 9 or 12 of the Organizer Agreement: every guest, in full, as section 5 says; (d) for a guest who asks within 14 days of a postponement or move, as section 6 says; and (e) without asking you first, for a payment that did not get its ticket, a duplicate or incorrect charge, a payment made after its hold ran out, a card payment at your door that no sale names, and any refund the law or a card network requires. We issue no other refund on your account. Please make refunds through Vessa, so the tickets and records stay right; a refund you make in Stripe is still your refund, and does not give back our fee. When section 7 of the Organizer Agreement gives our fee back, we return it from our own Stripe balance with the refund. If your Stripe balance cannot cover a refund, Stripe may take it from your later payments or, under your agreement with Stripe, from your bank account.
8. Chargebacks
A disputed amount is taken by Stripe from your Stripe balance. Stripe bills its dispute fee to us, and it is yours under section 8 of the Organizer Agreement. We may answer a dispute for you with the records of the sale.
9. What you owe us
If Stripe takes from our account an amount your Stripe balance could not cover (a refund, a chargeback or a fee), or you owe us a dispute fee or anything else under the Organizer Agreement, it is a debt you owe us, payable when we ask, with our reasonable costs of collecting it, including attorney's fees. We never take it from your Stripe balance or out of payments for Seller Events. We may set it off against money we hold for you from events that are not Seller Events, including by reversing a transfer we made to you for one of them, as section 4 of the Organizer Agreement allows.
10. Taxes
For Seller Events you are the seller, so any sales, admissions, amusement or other tax on what you sell is yours to work out, collect, report and pay, as section 16 of the Organizer Agreement says. We do not collect tax on Seller Events unless a law makes us collect it ourselves; if that happens we tell you before it starts, and we then take that tax with our fee and pay it to the state. We report your payments to the IRS and the states on Form 1099-K where the law requires it, through Stripe.
11. Your name on the statement
Your guests' card statements show the statement name on your Stripe account. We set it from your page name when your account is made, and you can change it with Stripe. Use one your guests will recognise: a charge they do not recognise is a common reason for a chargeback.
12. Ending
If Stripe stops card payments on your account, your Seller Events stop selling until it is fixed. Sections 12 and 14 of the Organizer Agreement apply to Seller Events, except that nothing in section 12 lets us hold money from a Seller Event: stopping your sales never touches money already in your Stripe balance. These Seller Terms continue for any refund, chargeback or debt from a Seller Event after the Organizer Agreement ends.
13. Changes
We will ask you to accept any new version of these Seller Terms before your next Seller Event goes on sale. A new version never changes a Seller Event that is already on sale.
